SatzoneUK Reseller Programme Terms and Conditions

These Terms and Conditions (“Terms”) govern your participation in the SatzoneUK Reseller Programme (“Programme”). By applying to or participating in the Programme, you agree to be bound by these Terms. SatzoneUK reserves the right to update these Terms at any time, with notice provided via email or your reseller dashboard.

1. Eligibility and Application

  • To become a reseller, you must submit a complete application via our website. Approval is at SatzoneUK’s sole discretion and may require verification of your business details, website, or sales channels.
  • Approved resellers must comply with all applicable laws, including data protection (e.g., GDPR) and anti-spam regulations.
  • You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and authorised to enter into this agreement.

2. Products and Wholesale Pricing

  • The Programme offers two separate products: VPN-BASIC (wholesale £6.00 per annual account) and VPN-MULTI (wholesale £12.00 per annual account).
  • Resellers may choose to resell VPN-BASIC, VPN-MULTI, or both. The products are managed separately with individual dashboards and credit balances.
  • Products must not be marketed or sold as official “SatzoneUK” branded products. However, you may use the generic product names “VPN-BASIC” and “VPN-MULTI” (as these reflect the app branding) in your promotions and sales.
  • You may resell products under your own branding, but you must not misrepresent features, performance, or our no-log policy.

3. Initial Deposit and Account Credit

  • Upon approval, you are required to make a one-time, non-refundable initial deposit based on the product(s) selected:
    • VPN-BASIC only: Minimum £60.00 (equivalent to 10 accounts at £6.00 each)
    • VPN-MULTI only: Minimum £120.00 (equivalent to 10 accounts at £12.00 each)
    • Both products: Minimum £180.00 (equivalent to 10 accounts of each)
  • This deposit will be fully credited to your reseller account(s) as usable prepaid credit for purchasing the selected product(s) at wholesale prices. It is not a fee but an advance payment demonstrating your commitment to the Programme.
  • Credit balances are maintained separately for VPN-BASIC and VPN-MULTI and cannot be transferred between them.
  • The credit does not expire, provided your account remains active, unless otherwise agreed.
  • No refunds will be issued for the deposit under any circumstances, including account termination or inactivity. However, any unused credit at the time of voluntary account closure may be refunded at SatzoneUK’s discretion, minus a £50.00 administrative fee.
  • Additional top-ups can be made at any time in increments matching the wholesale pricing.

4. Credit Terms

  • All purchases must initially be paid using your prepaid account credit or upfront payment methods.
  • Extended credit terms (e.g., net 30 days or overdraft) are not available initially and will only be offered if explicitly pre-agreed in writing or reviewed and approved after demonstrated performance (e.g., consistent order history and timely top-ups).
  • If extended credit is granted, late payments will incur a 1.5% monthly interest fee and may result in suspension of privileges or account termination.

5. Reseller Dashboard and Management

  • Upon approval and deposit, you gain access to a self-service reseller dashboard with separate sections for VPN-BASIC and VPN-MULTI (if both selected).
  • The dashboard allows you to add, edit, suspend, or delete user accounts, monitor usage, and manage your prepaid credit balances.
  • Accounts are generated and delivered instantly upon deducting from your credit balance.
  • SatzoneUK provides API access (upon request) for integrating the dashboard with your own systems.

6. Support and Responsibilities

  • As a reseller, you are responsible for providing first-line customer support to your end-users. SatzoneUK offers priority technical support to resellers via email or dashboard tickets.
  • You agree not to engage in spamming, false advertising, or any practices that could harm SatzoneUK’s reputation.
  • SatzoneUK provides marketing materials (e.g., banners, descriptions) for your use, but you must obtain approval for any custom branding involving our generic product names.
  • Our Privacy Policy applies to all data handling in the Programme. You must ensure your resale activities comply with this policy.

7. Payments and Invoices

  • All deposits, top-ups, and purchases must be made via debit or credit card payment through our secure online payment processor, Stripe.
  • Payments are processed online using the appropriate payment form(s) provided in your reseller dashboard or via secure links we send upon request.
  • Payments are due upfront. Once the payment is successfully processed and confirmed, your prepaid credit will be updated in your dashboard.
  • All prices exclude VAT/taxes, which you are responsible for as applicable in your jurisdiction.
  • Receipts/invoices will be provided automatically via email after successful payment.

8. Termination

  • Either party may terminate this agreement with 30 days’ written notice.
  • SatzoneUK may terminate immediately for breach of Terms, non-payment, or fraudulent activity.
  • Upon termination, any outstanding balances must be settled, and unused credit may be forfeited if the termination is for cause.

9. Liability and Warranties

  • Products are provided “as is.” SatzoneUK disclaims all warranties beyond those stated in our standard product terms.
  • You indemnify SatzoneUK against any claims arising from your resale activities.
  • Our liability is limited to the value of your most recent deposit.

10. Governing Law

These Terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England and Wales.
